Terms of Service
Please read these terms carefully. They apply to your use of our website and to the provision of our consultancy services unless replaced by a signed Statement of Work.
1. Who we are

2. Agreement to terms
By accessing this website or instructing us to begin work you agree to these Terms. Where we both sign a Statement of Work (an “SOW”), the SOW takes precedence over these Terms if there is any conflict.
3. Scoping and delivery
- Work is delivered in short, fixed-scope cycles (e.g. discovery or two-week sprints) with written notes and handover.
- Dependencies, assumptions and acceptance criteria are recorded before each cycle.
- You will provide timely access to stakeholders, systems and information needed to progress the work.
4. Fees and payment
- Prices shown on the site are indicative. Quotes are provided per SOW or email confirmation.
- Unless stated otherwise, fees are exclusive of VAT and reasonable travel expenses.
- Invoices are due within 14 days. We may pause work for overdue balances.
- Cancellations: you may cancel a booked cycle with 5 business days’ notice; otherwise up to 50% of the cycle fee may be charged.
5. Intellectual property
We retain ownership of our pre-existing materials, tools and know-how. On payment in full, you receive ownership of bespoke deliverables produced specifically for you under the SOW, excluding third-party components and our background IP. We grant you a non-exclusive licence to use our background IP only as embedded within the deliverables.
6. Confidentiality
Each party will keep confidential information disclosed by the other party confidential and use it solely to perform the engagement. These obligations do not apply to information that is public, independently developed, or required to be disclosed by law.
7. Data protection
We act as an independent controller for business contact details we process to manage our relationship. If we process personal data on your behalf during delivery, a separate Data Processing Agreement (DPA) will apply. See our Privacy Policy for details on how we handle personal data.
8. Warranties and disclaimers
We provide services with reasonable skill and care. Deliverables are provided “as is” for your environment. We do not guarantee particular business outcomes or that software will be error-free. You are responsible for change approvals and production roll-out unless stated in the SOW.
9. Limitation of liability
Neither party excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, each party’s total liability arising out of or in connection with the services is capped at the total fees paid or payable in the 12 weeks preceding the event giving rise to the claim, and neither party is liable for loss of profit, revenue, data, goodwill or any indirect or consequential loss.
10. Termination
Either party may terminate an SOW for material breach if not remedied within 10 business days of written notice. On termination you will pay for work performed up to the termination date.
11. Governing law
These Terms and any SOW are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
12. Changes to these Terms
We may update these Terms by posting a new version on this page with a new effective date. Material changes will apply to new work only unless agreed otherwise.
